Smater grants you a limited, non-exclusive, non-transferable license to use the Service in accordance with your subscription plan.
2. Account Responsibilities
You are responsible for:
- Maintaining credential confidentiality
- Managing user roles within your organization
- All activity under your account
3. Subscription and Payments
- Access is subject to subscription fees
- Fees are billed in advance
- Failure to pay may result in suspension
- Payments are processed via third-party processors.
4. Acceptable Use
You agree not to:
- Violate laws
- Interfere with the platform
- Attempt unauthorized access
- Upload malicious code
5. Intellectual Property
Smater retains ownership of:
- Software
- Branding
- Platform architecture
- Features and improvements
You retain ownership of your operational data.
6. Data and Privacy
Our Privacy Policy governs data handling.
7. Availability
We strive for reliable service but do not guarantee uninterrupted availability.
8. Termination
We may suspend or terminate accounts for:
- Non-payment
- Policy violations
- Illegal activity
You may terminate at any time.
9. Limitation of Liability
To the maximum extent permitted by law:
- Smater is not liable for indirect, incidental, or consequential damages.
- Total liability shall not exceed fees paid in the preceding 12 months.
10. Governing Law
These Terms are governed by the laws of Nigeria, unless otherwise required by applicable law.
